PROCESS TO OBTAIN PAYOUT OF YOUR MARINE BANCORP SHARES EITHER IN CERTIFICATE OR BOOK ENTRY FORM
Shareholders that hold paper certificates:
Continental Stock Transfer will send a Letter of Transmittal to the shareholders indicating all the shares owned based on Continental’s records.
Shareholder will complete the transmittal letter and the tax form and send the unsigned the certificate(s) back to Continental Stock Transfer. Payment for shares will be sent via check from Continental mailed to the shareholder.

Shareholders with stock held in book entry form (no certificate) by Continental:
Continental Stock Transfer will send a Letter of Transmittal to the shareholders indicating all the shares owned based on Continental’s records.
Shareholder will complete the transmittal letter and the tax form and send back to Continental Stock Transfer. Payment for shares will be sent via a check from Continental mailed to the shareholder.

Shareholders with stock held in street name (broker):
Depository Trust Corporation (DTC) will surrender all the shares held in street name (brokers) electronically and Continental will wire the funds to DTC, and they will further distribute the funds to the brokers to pay out the holders. Shareholder’s that hold shares in a brokerage name should get paid within two business days of the effective date of the merger.
The Letter of Transmittals will be mailed out to the shareholders within 5 business days of the effective date of the merger.
If the Letter of Transmittal is completed in good order the check for the proceeds will go out to the holders within a week.
